Terms of Service

These Terms of Service (“Terms”) govern the use of the sınavza EDS mobile
application and the Edesis school management platform (together, the “Service”),
operated by EDESİS BİLİŞİM LİMİTED ŞİRKETİ (formerly SINAVZA EĞİTİM VE BİLİŞİM TEKNOLOJİLERİ LTD. ŞTİ.) (“Edesis”, “we”, “us”). By accessing or
using the Service you agree to these Terms.

1. The Service

The Service is a software-as-a-service platform provided to educational institutions
(“Institutions”) under a separate service agreement. It includes student management, exam and
assessment tools, financial management, reporting, and communication features (SMS and WhatsApp).
Staff, student and parent accounts are created and managed by the contracting Institution.

2. Accounts and Responsibilities

You are responsible for keeping your login credentials confidential and for all activity under
your account.
Institutions are responsible for the accuracy and lawfulness of the data they enter into the
Service, including obtaining any consents required from students and parents.
You must not use the Service in a way that violates applicable law, infringes the rights of
others, or disrupts the operation of the Service.

3. WhatsApp and Other Communications

The Service enables Institutions to send messages via SMS and via the WhatsApp Business Platform
using the Institution’s own WhatsApp Business Account. When using these features, the Institution
agrees to:

send marketing messages only to recipients with a recorded opt-in consent, and honour opt-out
requests (e.g. “STOP”) immediately;
comply with the WhatsApp
Business Terms, Meta’s Business Messaging Policy and applicable electronic communication laws;
use message templates only for their approved purpose.

Edesis may suspend messaging features that are used in breach of these rules.

4. Fees

Fees, billing periods and payment terms are set out in the service agreement between Edesis and
the Institution. Third-party messaging costs (e.g. WhatsApp conversation charges) may be passed on to
the Institution as agreed.

5. Intellectual Property

The Service, including its software, design and documentation, is the property of Edesis and is
protected by law. Institutions retain all rights to the data they enter into the Service.

6. Data Protection

Processing of personal data is described in our Privacy
Policy. For educational records the Institution acts as data controller and Edesis as data
processor.

7. Availability and Liability

We strive to keep the Service available and secure, but the Service is provided “as is” and we do
not guarantee uninterrupted or error-free operation. To the extent permitted by law, Edesis’s
liability is limited to direct damages and shall not exceed the fees paid by the Institution for the
Service in the preceding twelve months.

8. Termination

Institutions may terminate as set out in their service agreement. We may suspend or terminate
access in case of a material breach of these Terms. Upon termination, Institution data is returned or
deleted in accordance with the service agreement and applicable law.

9. Changes

We may update these Terms from time to time. Changes are effective when posted on this page.
Continued use of the Service after changes constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices
of İstanbul (Anadolu) have jurisdiction.

Kullanım Şartları

Bu Kullanım Şartları (“Şartlar”), EDESİS BİLİŞİM LİMİTED ŞİRKETİ (eski unvanıyla SINAVZA EĞİTİM VE BİLİŞİM TEKNOLOJİLERİ LTD. ŞTİ.) (“Edesis”,
“biz”) tarafından işletilen sınavza EDS mobil uygulaması ile Edesis
okul yönetim platformunun (birlikte “Hizmet”) kullanımını düzenler. Hizmete erişerek veya Hizmeti
kullanarak bu Şartları kabul etmiş olursunuz.

1. Hizmet

Hizmet, eğitim kurumlarına (“Kurumlar”) ayrı bir hizmet sözleşmesi kapsamında sunulan bir
yazılım-hizmet (SaaS) platformudur. Öğrenci yönetimi, sınav ve değerlendirme araçları, finansal
yönetim, raporlama ve iletişim özellikleri (SMS ve WhatsApp) içerir. Personel, öğrenci ve veli
hesapları sözleşmeli Kurum tarafından oluşturulur ve yönetilir.

2. Hesaplar ve Sorumluluklar

Giriş bilgilerinizin gizliliğinden ve hesabınız altında gerçekleşen tüm işlemlerden siz
sorumlusunuz.
Kurumlar, Hizmete girdikleri verilerin doğruluğundan ve hukuka uygunluğundan, öğrenci ve
velilerden alınması gereken onaylar dahil olmak üzere sorumludur.
Hizmet; yürürlükteki mevzuatı ihlal edecek, başkalarının haklarına zarar verecek veya Hizmetin
işleyişini bozacak şekilde kullanılamaz.

3. WhatsApp ve Diğer İletişimler

Hizmet, Kurumların kendi WhatsApp Business hesaplarını kullanarak SMS ve WhatsApp Business
Platform üzerinden mesaj göndermesine olanak tanır. Bu özellikleri kullanan Kurum şunları kabul
eder:

Pazarlama mesajlarını yalnızca kayıtlı açık rızası (opt-in) bulunan alıcılara göndermek ve
vazgeçme taleplerini (ör. “STOP”) derhal uygulamak;
WhatsApp
Business Şartlarına, Meta’nın Ticari Mesajlaşma Politikasına ve ilgili elektronik iletişim
mevzuatına (6563 sayılı Kanun ve İYS dahil) uymak;
Mesaj şablonlarını yalnızca onaylandıkları amaç için kullanmak.

Edesis, bu kurallara aykırı kullanılan mesajlaşma özelliklerini askıya alabilir.

4. Ücretler

Ücretler, faturalama dönemleri ve ödeme koşulları Edesis ile Kurum arasındaki hizmet
sözleşmesinde belirlenir. Üçüncü taraf mesajlaşma maliyetleri (ör. WhatsApp konuşma ücretleri)
anlaşıldığı şekilde Kuruma yansıtılabilir.

5. Fikri Mülkiyet

Yazılımı, tasarımı ve dokümantasyonu dahil olmak üzere Hizmet, Edesis’in mülkiyetindedir ve
yasalarla korunur. Kurumlar, Hizmete girdikleri verilere ilişkin tüm haklarını saklı tutar.

6. Kişisel Verilerin Korunması

Kişisel verilerin işlenmesi Gizlilik
Politikamızda açıklanmıştır. Eğitim kayıtları bakımından Kurum veri sorumlusu, Edesis veri
işleyen sıfatıyla hareket eder.

7. Erişilebilirlik ve Sorumluluk

Hizmetin erişilebilir ve güvenli kalması için çalışırız; ancak Hizmet “olduğu gibi” sunulur ve
kesintisiz ya da hatasız çalışacağı garanti edilmez. Yasaların izin verdiği ölçüde Edesis’in
sorumluluğu doğrudan zararlarla sınırlıdır ve Kurumun önceki on iki ayda Hizmet için ödediği
ücretleri aşamaz.

8. Fesih

Kurumlar, hizmet sözleşmelerinde belirlenen şekilde sözleşmeyi feshedebilir. Bu Şartların esaslı
ihlali hâlinde erişimi askıya alabilir veya sonlandırabiliriz. Fesih hâlinde Kurum verileri, hizmet
sözleşmesine ve yürürlükteki mevzuata uygun olarak iade edilir veya silinir.

9. Değişiklikler

Bu Şartları zaman zaman güncelleyebiliriz. Değişiklikler bu sayfada yayımlandığında yürürlüğe
girer. Değişikliklerden sonra Hizmetin kullanılmaya devam edilmesi, değişikliklerin kabulü anlamına
gelir.

10. Uygulanacak Hukuk

Bu Şartlar Türkiye Cumhuriyeti hukukuna tabidir. Uyuşmazlıklarda İstanbul (Anadolu) mahkemeleri ve
icra daireleri yetkilidir.
